RigTracer LLC License Agreement and Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using the RigTracer software platform (the “Service”), you (“Customer,” “you,” or “your”) acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service (“Terms”).

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. License Grant

RigTracer LLC (“RigTracer,” “we,” “our,” or “us”) grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your internal business purposes, subject to these Terms.

All rights not expressly granted are reserved by RigTracer LLC.

3. Intellectual Property Rights

The Service, including all software, source code, object code, user interfaces, workflows, designs, documentation, trademarks, logos, and related intellectual property, is and shall remain the exclusive property of RigTracer LLC and its licensors.

These Terms do not grant you any ownership rights in the Service.

You may not use the Service to develop, benchmark, analyze, or assist in the development of any competing product or service.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or unauthorized purpose;
  • Share, resell, sublicense, or transfer account access;
  • Copy, reproduce, modify, reverse-engineer, decompile, or attempt to extract source code;
  • Use the Service to build a competing product;
  • Upload malicious code, viruses, or harmful content;
  • Attempt to gain unauthorized access to any system or account;
  • Interfere with or disrupt the integrity or performance of the Service.

RigTracer may suspend or terminate accounts that violate these Terms.

5. Customer Data

Ownership

You retain ownership of all data, files, and information you upload to the Service (“Customer Data”).

License to RigTracer

You grant RigTracer a limited license to host, store, process, transmit, and display Customer Data solely for the purpose of operating, maintaining, and improving the Service.

Data Responsibility

You are solely responsible for the accuracy, legality, and integrity of Customer Data.

Backup Disclaimer

You acknowledge that you are responsible for maintaining independent backup copies of your Customer Data. RigTracer is not liable for loss, corruption, or deletion of Customer Data except to the extent caused by our willful misconduct.

Third-Party Processors

We may use trusted third-party providers (such as cloud hosting or payment processors) to operate the Service. We will not sell Customer Data.

6. Data Retention and Deletion

Upon cancellation or termination:

  • Customer Data will remain accessible for 30 days for export.
  • After 30 days, RigTracer may permanently delete Customer Data.
  • We may retain data as required by law.

We are not responsible for data loss after the 30-day export period.

7. Billing and Subscriptions

Subscription fees are billed according to your selected plan.

  • All payments are processed through third-party payment providers.
  • Fees are non-refundable unless required by law.
  • You may cancel at any time.
  • Access remains active until the end of the billing cycle.
  • We may suspend access for non-payment.

RigTracer reserves the right to modify pricing with advance notice.

8. Service Availability

We strive for 99% uptime but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, system updates, force majeure events, or third-party service disruptions. RigTracer is not liable for temporary unavailability.

9. Security and Account Responsibility

We use commercially reasonable security measures, including encryption and authentication practices.

You are responsible for:

  • Maintaining confidentiality of login credentials
  • All activities under your account
  • Promptly notifying us of unauthorized access

10. Operational Disclaimer

The Service is a documentation and workflow management tool only.

RigTracer does not:

  • Guarantee regulatory compliance
  • Ensure billing accuracy
  • Provide safety, legal, accounting, or operational advice
  • Guarantee job-site outcomes or field performance

You are solely responsible for verifying all operational, safety, billing, and compliance information before relying on it.

11. Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, RigTracer disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and security.

We do not warrant that the Service will be uninterrupted or error-free.

12. Limitation of Liability

To the fullest extent permitted by law:

(a) RigTracer LLC shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, or business interruption.

(b) RigTracer LLC’s total cumulative liability arising out of or relating to the Service shall not exceed the greater of:

  • (i) the total fees paid by you in the twelve (12) months preceding the claim; or
  • (ii) $1,000 USD.

These limitations apply regardless of the legal theory asserted and even if advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless RigTracer LLC and its officers, employees, and affiliates from and against any claims, damages, liabilities, losses, costs, or expenses (including attorneys’ fees) arising from:

  • Your use or misuse of the Service;
  • Your violation of these Terms;
  • Your violation of applicable laws or regulations;
  • Your infringement of third-party rights.

14. Force Majeure

RigTracer shall not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, war or terrorism, labor disputes, internet outages, government actions, or third-party service provider failures.

15. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered in Montgomery County, Texas under the rules of the American Arbitration Association.

You and RigTracer waive:

  • The right to a jury trial
  • The right to participate in a class action or representative proceeding

Judgment on the arbitration award may be entered in any court of competent jurisdiction.

16. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

17. Assignment

RigTracer may assign or transfer these Terms without restriction. You may not assign your rights or obligations without prior written consent.

18. Survival

Sections relating to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law shall survive termination.

19. Entire Agreement

These Terms constitute the entire agreement between you and RigTracer and supersede all prior agreements or understandings.

20. Updates to These Terms

RigTracer may modify these Terms from time to time. We will provide notice of material changes via email or in-app notification. Continued use of the Service after updates constitutes acceptance.

21. Export Compliance

You agree not to use the Service in violation of U.S. export control laws or sanctions regulations.
